Terms of Service

The terms governing your use of the BridgeHR platform.

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of BridgeHR (the "Platform"), operated by BridgeHedge Limited ("BridgeHedge", "we", "us"). By creating an account, accessing, or using the Platform, you ("Customer", "you") agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Description of Service

BridgeHR is a software-as-a-service human resources and payroll platform that allows businesses to manage employee records, run Nigerian-compliant payroll (PAYE, Pension, NHF, NHIA, NSITF, ITF), administer leave, track attendance, manage onboarding, handle disciplinary cases, and provide an employee self-service portal.

3. Accounts and Access

An authorised representative of the Customer ("Administrator") registers the Customer's organisation and is responsible for inviting and managing user accounts for employees. Each user is responsible for keeping their login credentials confidential and for all activity that occurs under their account. You must notify us promptly of any unauthorised use of an account.

4. Customer Responsibilities

The Customer is responsible for: the accuracy of all data entered into the Platform, including employee records and payroll inputs; ensuring it has a lawful basis to process the personal data of its employees on the Platform; obtaining any consents required from its employees; and complying with all applicable Nigerian labour, tax, and data protection laws in its use of the Platform. BridgeHR is a tool to help administer payroll and HR processes — it does not constitute legal, tax, or accounting advice, and Customers remain responsible for the accuracy and compliance of their statutory filings.

5. Subscription and Payment

Access to paid plans is billed in accordance with the pricing tier selected at sign-up (Starter, Growth, or Enterprise) and any custom terms agreed for Enterprise customers. Fees are charged in advance on the billing cycle indicated at checkout or in an applicable order form. Free trials, where offered, convert to a paid subscription at the end of the trial period unless cancelled beforehand. We reserve the right to change our pricing with reasonable advance notice to existing customers.

6. Acceptable Use

You agree not to: use the Platform for any unlawful purpose; attempt to gain unauthorised access to any part of the Platform or another customer's data; upload malicious code; reverse-engineer or attempt to extract the Platform's source code; or use the Platform to process data you are not lawfully entitled to process.

7. Data Ownership and Processing

As between BridgeHedge and the Customer, the Customer retains ownership of all employee and business data entered into the Platform. BridgeHedge acts as a data processor with respect to that data, processing it solely to provide the Platform and in accordance with our Privacy Policy. Upon termination of a subscription, the Customer may request export of its data within a reasonable period before deletion from our systems, except where retention is required by law.

8. Availability and Support

We aim to keep the Platform available and performant but do not guarantee uninterrupted access. Scheduled maintenance will be communicated where reasonably possible. Support is provided according to the Customer's plan tier (email support on Starter; email and chat support on Growth; SLA-backed 24/7 support on Enterprise).

9. Intellectual Property

The Platform, including its software, design, and branding, is the property of BridgeHedge Limited and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Platform to the Customer. The Customer is granted a limited, non-exclusive, non-transferable right to use the Platform during the term of its subscription.

10. Termination

Either party may terminate a subscription in accordance with the notice period stated in the applicable plan or order form. We may suspend or terminate access immediately if a Customer breaches these Terms, fails to pay applicable fees, or uses the Platform in a way that risks the security or integrity of the service or other customers' data.

11. Limitation of Liability

To the fullest extent permitted by law, BridgeHedge's liability arising from use of the Platform is limited to the fees paid by the Customer in the twelve (12) months preceding the claim. BridgeHedge is not liable for indirect, incidental, or consequential damages, including loss of profits or data, except where such liability cannot be excluded under applicable law.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our service or legal requirements. We will notify Administrators of material changes through the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
